The [Sponsorship Negotiations Review] Committee having examined the evidence provided, verbally as well as documentary, also, having examined some of the processes and procedure by, which the Board functioned during the sponsorship negotiations, felt it necessary to submit a few recommendations.

In our view these matters should be addressed as a matter of urgency, by the departments and or committees to whom these matters relate.

There must be strict adherence to the provisions set out in the Memorandum and Articles of Association of the WICB Inc.

2. There must be transparency in all matters in which the shareholders have an interest.

3. There must be accountability to the Board and its members and the members to the territorial Boards.

4. Records, minutes of meetings and resolutions of the Board at meetings must be kept in accordance with the articles of Association of the WICB.

5. There is the need for the establishment of the post of executive corporate secretary to the Board with specific authority.

6. Board members must be conversant with the Memorandum and Articles of Association. They must be informed of their fiduciary duty to the Board and to the shareholders.
