HEADLINE: Shallow says Barbados, Guyana boards won’t stop governance decision

Cricket West Indies (CWI) president Dr Kishore Shallow is urging members of the Barbados Cricket Association (BCA) and the Guyana Cricket Board (GCB) to attend a special meeting of the Board next month to discuss issues relating to governance reform.
However, he said whether or not the two territorial boards attend the meeting, a decision will be made on the matter.
“This time, I can state with a measure of certitude that we are going to proceed and progress with governance reform at that special meeting,” Shallow said on WESN TV last Friday.
The BCA and the GCB did not attend the CWI meeting on December 6 to vote on governance reform, causing the meeting to be adjourned because a quorum was not met.
The meeting was called with the intention of voting on the Wehby Report’s recommendations.
“Governance reform has been on the table for well over two years and we have had meetings with shareholders and other stakeholders,” Shallow said.

Seems like Shallow is planning to channel Donald Trump and hold an unauthorized, and therefore illegal, vote without a quorum. Even a 5th grader knows that any entity with a board of directors cannot act in the absence of a quorum.

For quorum, at least nine out of 12 voters had to be present, but with the GCB and BCA representatives not showing up, the CWI had to call off the election. In a media release on Sunday, CWI said representatives from the rest of the four territorial boards - the Jamaica Cricket Association (JCA), Leeward Islands Cricket Board (LICB), Trinidad & Tobago Cricket Board (TTCB), Windwards Islands Cricket Board (WICB) - were present.
From what I read there, it is possible to reach quorum without the GCB and BCA reps. That's 2 missing. Meaning 9 need to show up.
Now if each board has 2 votes, that would explain the no quorum issue as no reps from GCB and BCA would be 4 voters in total.
However...this also sheds further light
In a dramatic turn of events, the Cricket West Indies (CWI) board elections have been adjourned till April 11 after representatives from the Guyana Cricket Board (GCB) and the Barbados Cricket Association (BCA) failed to show up for the virtual annual general meeting. CWI subsequently said that the AGM had to be postponed as per the constitution due to the "lack of a quorum".
And then this:
The fate of the CWI elections carried a lot of importance for Sanasie because the GCB polls were also scheduled for March 29. However, it could not be confirmed if that was the key reason for the no-show.
Maybe that was why GCB didn't show. Maybe that's the reason there was no quorum
And maybe...just maybe....Shallow has received assurances from certain parties, and knows more about this, than anyone here on this message board.

Think each board got two directors... so it's two votes each.
For Guyana the directors are the GCB president and his cousin/brother.... they're related somehow though.

Seems to me if Barbados and Guyana have a problem Why don't they come right out and say it. Org says they'll run vote regardless. Some say they need 9 out of 12 votes.

In a lot of organisations, the quorum requirement changes once the meeting has been postponed without a vote. That is probably what is going to happen. There is probably a lesser quorum for the adjourned meeting so that those two prima donnas can just stay home and count their respective tourist and oil dollars.
